Terms of Service

1. Acceptance of Terms

By accessing or using Chitline ("Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

By creating an account, you represent that you are at least 18 years of age and are authorized to bind the business or organization you are registering on behalf of. These terms constitute a legal agreement between you and Chitline, a company based in British Columbia, Canada.

2. Service Description

Chitline provides a subscription-based software platform for independent food service operators, including:

  • The Rail — Kitchen display and order queue management
  • The Studio — Menu editing and item management
  • The Counter — Customer-facing online ordering interface

Chitline charges a flat monthly subscription fee with no per-order commissions. We do not take a cut of your sales.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when registering
  • Promptly notify us at [email protected] of any unauthorized use or suspected security breach
  • Not share your login credentials with unauthorized parties

We are not liable for losses resulting from unauthorized use of your account that occurred through no fault of ours.

4. Subscriptions and Payment

Plans and Pricing

  • Starter: $79/month CAD — single location
  • Pro: $149/month CAD — multiple locations and advanced features

All prices are in Canadian dollars and are exclusive of applicable taxes. Chitline may offer additional paid add-ons (e.g., menu setup services) at separately disclosed prices.

Free Trial

New accounts receive a 14-day free trial. A valid payment method is required at signup. If you do not cancel before the trial ends, your subscription will automatically begin and your card will be charged.

Billing and Cancellation

  • Subscriptions are billed monthly in advance on the anniversary of your plan start date
  • You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period
  • We do not provide prorated refunds for partial months
  • If a payment fails, we will attempt to retry; service may be suspended after a reasonable grace period if payment cannot be collected

Price Changes

We may change our subscription pricing with at least 30 days' written notice to the email address on your account. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree to use Chitline only for lawful food service and restaurant operations. You must not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without written permission
  • Use the Service to transmit spam, malware, or unlawful content
  • Attempt to gain unauthorized access to any system or data
  • Use automated bots or scrapers against the Service

You are solely responsible for the accuracy of your menu, pricing, product descriptions, and order fulfillment. Chitline does not verify the accuracy of operator-provided content.

You are responsible for ensuring your use of the Service complies with all applicable local, provincial, and federal laws, including food service licensing, consumer protection, and tax collection obligations.

6. Customer Data

When customers place orders through your Chitline ordering page, you are the data controller for their personal information (name, contact details, order history). Chitline processes this data as a service provider on your behalf.

You are responsible for having an appropriate privacy policy for your customers and for complying with applicable privacy laws regarding the collection and use of their data. You must not use customer data collected through Chitline for purposes unrelated to fulfilling their orders without appropriate consent.

7. Intellectual Property

Chitline and its underlying technology, trademarks, and design are owned by Chitline. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription term, solely for your internal business purposes.

You retain ownership of all content you upload to the Service (menu items, photos, logos). By uploading content, you grant Chitline a non-exclusive, royalty-free licence to display, store, and process that content for the purpose of providing the Service to you.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability.

We do not guarantee that the Service will be error-free, that orders will always be delivered or transmitted successfully, or that the Service will meet your specific requirements. Internet connectivity, device failures, and third-party outages are outside our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Chitline and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost orders, lost data, or business interruption.

Our total cumulative liability to you for any claim arising out of or related to the Service shall not exceed the fees you paid to Chitline in the three calendar months immediately preceding the event giving rise to the claim.

Nothing in these terms limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

10. Termination

Either party may terminate the subscription at any time. Chitline may suspend or terminate your account immediately, without notice, for material breach of these Terms, non-payment, or conduct that poses a risk to the Service or other users.

Upon cancellation or termination, your access to the Service will end at the close of the current billing period (or immediately for terminations for cause). We will make your organization data available for export for 30 days following termination, after which it may be permanently deleted.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising from these Terms or your use of the Service.

12. Dispute Resolution

In the event of a dispute, we ask that you first contact us at [email protected] so we can attempt to resolve it informally. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through binding arbitration administered in British Columbia before resorting to litigation.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or an in-app notification. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
